1. Acceptance of terms
These Terms of Use (the "Terms") constitute a legally binding agreement between you ("User", "you", or "your") and CENTRUM TABLE TENNIS CLUB ("Corporation", "we", "us", or "our"). By accessing, browsing, or using cttc.tennis (the "Website"), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations in the Province of Ontario and Canada.
The Website is operated by a federally incorporated Canadian non-profit corporation, registered under the Canada Not-for-profit Corporations Act (NFPA), and operating exclusively in Ontario. As such, these Terms comply with both federal and Ontario laws governing non-profit organizations.
If you do not agree to these Terms, you must immediately cease using the Website. Your continued use of the Website constitutes acceptance of these Terms.
2. Modifications to terms
We reserve the right to modify, update, or amend these Terms at any time without prior notice, to ensure compliance with federal and Ontario laws governing non-profits. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website after such modifications constitutes your acceptance of the revised Terms.
3. Eligibility
You represent and warrant that you are at least the age of majority in the Province of Ontario and have the legal capacity to enter into this agreement.
If you are using the Website on behalf of an entity, you represent and warrant that you have the necessary authority to bind that entity to these Terms.
4. Intellectual property
All content, including but not limited to text, graphics, logos, images, software, and multimedia elements, available on the Website (the "Content") is the property of the Corporation or its licensors and is protected by Ontario and Canadian copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Content for personal, non-commercial purposes, subject to any non-profit licensing restrictions. You may not reproduce, distribute, modify, or create derivative works from the Content without our prior written consent.
5. User conduct
You agree not to:
Use the Website for any unlawful purpose or in violation of any applicable laws or regulations in Ontario or Canada;
Use the Website in a manner inconsistent with the Corporation's non-profit status, including but not limited to any commercial exploitation;
Interfere with or disrupt the security, integrity, or performance of the Website;
Attempt to gain unauthorised access to any portion of the Website or any related systems;
Use any automated means to access the Website without our express consent;
Engage in any activity that could harm, exploit, or infringe upon the rights of others.
6. Privacy policy
Our collection, use, and disclosure of personal information are governed by our privacy policy, which is incorporated by reference into these Terms. By using the Website, you consent to our collection and use of your personal information in accordance with our privacy policy, the Personal Information Protection and Electronic Documents Act (PIPEDA), and the Ontario Freedom of Information and Protection of Privacy Act (FIPPA), where applicable.
7. Third-party links and services
The Website may contain links to third-party websites or services that are not owned or controlled by the Corporation. We are not responsible for the content, policies, or practices of such third-party websites or services.
Your use of third-party websites is at your own risk, and we encourage you to review their terms of use and privacy policies before engaging with them.
8. Disclaimers and limitation of liability
The Website and its Content are provided on an "as is" and "as available" basis without any warranties, express or implied. To the fullest extent permitted by Ontario and Canadian law, we disclaim all warranties, including but not limited to fitness for a particular purpose, merchantability, and non-infringement.
In no event shall the Corporation, its directors, officers, employees, or affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising from or in connection with your use of the Website.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Corporation, its affiliates, directors, officers, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Website or your breach of these Terms.
10. Termination
We reserve the right to terminate or suspend your access to the Website at our sole discretion, without prior notice, if we determine that you have violated these Terms or applicable laws.
Upon termination, all rights granted to you under these Terms shall immediately cease.
11. Governing law and jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, including the Canada Not-for-profit Corporations Act.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in the Province of Ontario, Canada.
12. Non-profit compliance
The Corporation is a registered non-profit entity and operates exclusively for not-for-profit purposes. No part of the Website shall be used for commercial gain or personal profit inconsistent with the Corporation's mandate.
Any donations made through the Website are subject to applicable charitable donation regulations under the Canada Revenue Agency (CRA) and the Ontario Corporations Act, where applicable.
13. General provisions
Entire Agreement: These Terms, along with our privacy policy, constitute the entire agreement between you and the Corporation regarding the use of the Website and supersede all prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: The failure of the Corporation to enforce any right or provision under these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
14. Language
These Terms are available in both English and Polish. In the event of any discrepancies, inconsistencies, or conflicts between the English and Polish versions, the English version shall prevail and be deemed the authoritative version, while the Polish version is provided for convenience only.
